These terms govern your use of this website and, where applicable, your engagement of services provided by Key Ledgers Global. By accessing this website or instructing us to carry out work on your behalf, you agree to these terms.
Key Ledgers Global is a trading name operated by Bharat Varsani FCCA, a fellow of the Association of Chartered Certified Accountants (ACCA). Our registered address is C204 Cunningham House, 19-21 Westfield Lane, Harrow, London HA3 9ED.

2. Our Services
Key Ledgers Global provides financial advisory, tax planning, CFO advisory, and related professional services. The following limitations apply to all services:
- Our advice is not regulated investment advice under the Financial Services and Markets Act 2000. We do not hold FCA authorisation. Where investment advice is required, we will direct you to an appropriately authorised firm
- Our advice is not legal advice. Nothing we provide constitutes legal counsel. Where legal advice is required, you should instruct a qualified solicitor
- Our services are advisory in nature. We provide analysis, recommendations, and strategic guidance. Decisions remain with you as the client
- We are regulated by ACCA for general practice activities including accounting, tax, and business advisory services
3. Engagement and Fees
No work commences until a written engagement letter has been agreed and signed by both parties. The engagement letter sets out the scope of work, deliverables, timeline, and agreed fee.
- Fixed-fee model: we operate on a fixed-fee basis wherever possible. Your fee is agreed and confirmed in writing before work begins. We do not bill by the hour without prior agreement
- Fee changes: if the scope of work changes materially from what was originally agreed, we will notify you in writing and agree any revised fee before proceeding
- Payment terms: payment terms are set out in the engagement letter. We reserve the right to suspend work where invoices are not settled in accordance with agreed terms
- Expenses: any out-of-pocket expenses (travel, third-party fees, etc.) will be agreed in advance and invoiced at cost with supporting receipts
4. Intellectual Property
All reports, documents, models, templates, and materials produced by Key Ledgers Global during an engagement remain the intellectual property of Key Ledgers Global until all invoices relating to that engagement have been paid in full.
Upon receipt of full payment, ownership of the specific deliverables produced for your engagement transfers to you. We retain the right to use anonymised, aggregated insights and methodologies for internal development and to improve services for other clients.
Nothing in these terms grants you rights to our proprietary methodologies, frameworks, or template documents beyond the specific deliverables produced for your engagement.
5. Confidentiality
Both parties agree to maintain the confidentiality of information shared during an engagement:
- We will not disclose your financial or business information to third parties without your prior written consent, except where required by law or our regulatory obligations
- You agree not to disclose our methodologies, fee structures, or proprietary materials to third parties without our prior written consent
- Confidentiality obligations survive the termination of an engagement for a period of five years
- Disclosure to ACCA, HMRC, or other regulatory bodies where legally required does not constitute a breach of confidentiality
We hold professional indemnity insurance in accordance with ACCA requirements, which covers work carried out under formal engagement.
6. Limitation of Liability
To the fullest extent permitted by law, our total liability to you in connection with any engagement, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the total fees paid by you for the specific engagement to which the claim relates.
- We are not liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity, or reputational damage arising from our advice or services
- We are not liable for losses arising from your failure to act on advice provided, or from your decision to act contrary to our recommendations
- We are not liable for changes in tax law, HMRC policy, or regulatory requirements that occur after advice is given and that affect the outcome of a strategy we recommended in good faith at the time
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

Both parties submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising under or in connection with these terms or an engagement with Key Ledgers Global.
9. Changes to These Terms
We may update these terms from time to time to reflect changes in our services, business practices, or applicable law. The current version is always published at this URL with the date it was last updated.
For website use, continued use of this website after updated terms are published constitutes acceptance of the revised terms. For active client engagements, material changes to terms will be communicated to you directly and will not apply retrospectively without your written agreement.
